Business Day Legal Clause

Principal means an officer, director, owner, partner or person with primary management or oversight responsibilities within a business entity (e.g., general manager; Plant Manager; Head of a department or sector of activity; and similar positions). In the United States, where it is all the time, «business day» is relatively easy to define, usually as «any day other than a Saturday, Sunday, or day on which financial institutions in [choose a jurisdiction] are eligible to close.» The latter would be the 10 official national holidays that at least all bankers (not dummies) adhere to, although not all companies follow them (such as Presidents` Day and Columbus Day). (1) Any person who makes a prohibited expense under paragraph (b) of this clause or who fails to file or modify the disclosure to be filed or amended in accordance with paragraph (d) of this clause shall be liable to civil penalties under 31 U.S.C. 1352. The imposition of a civil penalty does not prevent the Government from seeking any other remedy that may be applicable. (2) When amending this clause to identify appropriate parties, all disclosures of violations of civil law on false claims or federal criminal law should be addressed to the Office of the Agency of the Inspector General with a copy to the contract agent. f) Data. The internal confidentiality agreement or statement, subcontracting and subcontractor are defined in the clause of 52.203-19, prohibition to request certain agreements or internal confidentiality statements. (1) The Contractor shall establish and follow appropriate procedures to prevent and detect possible violations described in paragraph (b) of this clause in its own operations and direct business relationships. «Business Day» means any day of the year on which New York`s national banking institutions are open to the public to operate and are not required or permitted to close.
